1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "Producer," or "Attendee") and OSeminar ("Company," "we," "us," or "our") governing your access to and use of the OSeminar platform, website, and all related services (collectively, the "Service") available at oseminar.com and its subdomains.

By accessing or using the Service in any manner — including creating an account, registering for an event, or processing a payment — you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must immediately cease all use of the Service.

If you are using the Service on behalf of an organization or business entity, you represent and warrant that you have the authority to bind that entity to these Terms, and references to "you" shall include that entity.

2. Description of Service

OSeminar is a Software-as-a-Service (SaaS) platform that enables event producers ("Producers") to create, host, and monetize online seminars, webinars, masterclasses, challenges, and live events. Attendees ("Attendees") may register for and attend events hosted by Producers through the platform.

The Service includes, but is not limited to: event creation and management tools, session scheduling, tiered access control, attendee registration and magic-link authentication, video streaming integration, payment processing via Stripe Connect, GoHighLevel CRM integration, analytics, SMS/email reminder delivery, evergreen event automation, and behavioral engagement tracking.

OSeminar acts as a platform intermediary and is not a party to any transaction between Producers and Attendees. OSeminar does not produce, endorse, or guarantee any content, events, products, or services offered by Producers through the platform.

3. Eligibility and Account Registration

You must be at least 18 years of age and capable of forming a legally binding contract to use the Service. By using the Service, you represent and warrant that you meet these requirements.

When creating an account, you agree to provide accurate, current, and complete information and to keep that information updated. You are solely responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at [email protected] of any unauthorized use of your account.

OSeminar reserves the right to refuse registration, suspend, or terminate any account at its sole discretion, including for violations of these Terms or applicable law.

4. Producer Accounts and Responsibilities

Producers are users who create and host events on the platform. By registering as a Producer, you agree to the following:

  • You are solely responsible for all content, events, sessions, materials, and communications you make available through the Service.
  • You represent and warrant that all content you upload or distribute complies with all applicable local, state, national, and international laws and regulations.
  • You are responsible for accurately describing your events, including pricing, access tiers, session schedules, and any refund or cancellation policies you offer to Attendees.
  • You agree to honor all commitments made to Attendees, including delivering the events and content described at the time of registration or purchase.
  • You are solely responsible for any taxes, duties, or levies applicable to payments you receive through the platform.
  • You agree to comply with all applicable consumer protection laws in the jurisdictions where your events are marketed or delivered.

5. Payment Processing and Stripe Connect

5.1 Platform Subscription

Access to Producer features requires an active OSeminar Pro subscription. Subscription plans are currently offered at $297.00 per month or $2,970.00 per year. Subscriptions automatically renew at the end of each billing period unless cancelled prior to renewal. You may cancel your subscription at any time through the Settings → Payments section of your Producer dashboard.

5.2 Stripe Connect for Producers

Payment processing for Attendee transactions is facilitated through Stripe Connect, operated by Stripe, Inc. To collect payments from Attendees, Producers must create and connect a Stripe Express account. By connecting a Stripe account, Producers agree to the Stripe Connected Account Agreement and the Stripe Services Agreement, which include the Stripe Connect Account Agreement. Stripe Connect is optional; Producers who do not connect a Stripe account may not collect Attendee payments through the platform.

5.3 Platform Fee

OSeminar charges a 3% platform fee on all Attendee payments processed through the platform via Stripe Connect. This fee is automatically deducted from each transaction at the time of payment using Stripe's application_fee_amount mechanism. The remaining balance is transferred directly to the Producer's connected Stripe account. Producers acknowledge and agree to this fee structure as a condition of using the payment processing features of the Service.

5.4 Streaming Minute Packages

Producers may purchase streaming minute packages to support live video delivery on the platform. These packages are sold as one-time purchases and are non-refundable once consumed. Available packages and pricing are displayed in the Streaming section of the Producer dashboard.

5.5 Event Creation Fee

A one-time event creation fee of $47.00 may apply to the creation of certain event types. This fee is non-refundable once the event has been created and published.

5.6 Payment Disputes and Chargebacks

Producers are solely responsible for managing disputes and chargebacks arising from Attendee transactions. OSeminar will cooperate with Stripe's dispute resolution process but bears no financial liability for chargebacks or refunds related to Producer-Attendee transactions. Producers agree to maintain sufficient funds in their connected Stripe account to cover potential chargebacks and to respond promptly to any dispute notifications from Stripe.

6. Refund Policy

6.1 Platform Subscription Refunds

OSeminar Pro subscription fees are generally non-refundable. If you believe you were charged in error, please contact us at [email protected] within 7 days of the charge. We will review each request on a case-by-case basis and may issue a refund at our sole discretion.

6.2 Attendee Refunds

Refund policies for Attendee purchases (Paid or VIP event access) are set by the individual Producer. Attendees should review the refund policy stated on the event registration page before completing a purchase. OSeminar is not responsible for issuing refunds for Producer-Attendee transactions; all refund requests must be directed to the Producer. If a Producer fails to honor a stated refund policy, Attendees may file a dispute through their payment card issuer.

6.3 Non-Refundable Items

The following items are explicitly non-refundable: consumed streaming minutes, event creation fees, and any promotional or discounted subscription periods.

7. Prohibited Uses and Content

You agree not to use the Service for any purpose that is unlawful, harmful, fraudulent, deceptive, or otherwise prohibited under these Terms. In particular, and without limitation, the following are strictly prohibited on the OSeminar platform:

7.1 Prohibited Business Types

In compliance with Stripe's Prohibited and Restricted Businesses policy, the following business types and activities are prohibited from using the Service:

7.2 Prohibited Conduct

In addition to prohibited business types, you agree not to:

  • Violate any applicable law, regulation, or third-party right, including intellectual property, privacy, or consumer protection laws.
  • Upload, transmit, or distribute any content that is defamatory, obscene, harassing, threatening, or fraudulent.
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity.
  • Use the Service to send unsolicited commercial communications (spam).
  • Attempt to gain unauthorized access to any part of the Service or any other user's account.
  • Interfere with or disrupt the integrity or performance of the Service or the data contained therein.
  • Use automated means (bots, scrapers, crawlers) to access the Service without our prior written consent.
  • Reverse engineer, decompile, or disassemble any portion of the Service.
  • Use the Service to facilitate money laundering, terrorist financing, or any other financial crime.
  • Make false or misleading claims about your events, products, or services.
  • Offer unrealistic guarantees of income, results, or outcomes to prospective Attendees.
  • Upload, transmit, distribute, or link to any Child Sexual Abuse Material (CSAM) or any content that sexually exploits, endangers, or harms minors in any way. This is an absolute prohibition. Violations will result in immediate account termination, permanent ban from the platform, mandatory reporting to the National Center for Missing & Exploited Children (NCMEC) via the CyberTipline, and full cooperation with law enforcement.

8. Intellectual Property

The OSeminar platform, including its software, design, trademarks, logos, and all platform-generated content, is owned by OSeminar and is protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for its intended purposes as described in these Terms.

You retain all ownership rights to content you create and upload to the platform ("User Content"). By uploading User Content, you grant OSeminar a worldwide, royalty-free, non-exclusive license to host, store, transmit, display, and reproduce that content solely as necessary to provide the Service. You represent and warrant that you own or have the necessary rights to grant this license and that your User Content does not infringe any third-party intellectual property rights.

9. Privacy and Data Protection

Our collection, use, and disclosure of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the data practices described in the Privacy Policy.

Producers who collect personal data from Attendees through the platform are independently responsible for complying with all applicable data protection laws, including the General Data Protection Regulation (GDPR), the California Consumer Privacy Act (CCPA), and any other applicable privacy regulations. Producers must provide Attendees with a clear and accessible privacy notice describing how their data is collected, used, and shared.

10. Disclaimers and Limitation of Liability

10.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. OSEMINAR DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

10.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OSEMINAR AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF OSEMINAR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OSEMINAR'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF (A) THE TOTAL AMOUNT PAID BY YOU TO OSEMINAR IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00).

10.3 No Endorsement of Producer Content

OSeminar does not endorse, verify, or guarantee the accuracy, quality, safety, legality, or appropriateness of any event, content, product, or service offered by Producers. Attendees engage with Producer content at their own risk. OSeminar expressly disclaims any liability for claims, losses, or damages arising from Producer-Attendee interactions.

11. Indemnification

You agree to defend, indemnify, and hold harmless OSeminar and its officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to: (a) your violation of these Terms; (b) your User Content; (c) your use of the Service; (d) your violation of any third-party right, including any intellectual property, privacy, or consumer protection right; or (e) any claim that your User Content caused damage to a third party.

12. Termination

OSeminar reserves the right to suspend or terminate your access to the Service at any time, with or without notice, for any reason, including but not limited to a violation of these Terms, non-payment of fees, or conduct that we determine, in our sole discretion, to be harmful to other users, third parties, or the platform.

Upon termination, your right to use the Service will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the United States and the state in which OSeminar is registered, without regard to its conflict of law provisions.

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall first be addressed through good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within 30 days, the parties agree to submit to binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be conducted in English, and the arbitrator's award shall be final and binding.

Class Action Waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration.

14. Third-Party Services

The Service integrates with third-party services including Stripe (payment processing), Twilio (SMS), Resend (email), and GoHighLevel (CRM). Your use of these third-party services is subject to their respective terms of service and privacy policies. OSeminar is not responsible for the practices, content, or availability of any third-party services.

Specifically, payment processing services are provided by Stripe, Inc. and are subject to the Stripe Services Agreement. By using the payment features of the Service, you agree to be bound by the Stripe Services Agreement, as modified by Stripe from time to time.

15. Changes to These Terms

OSeminar reserves the right to modify these Terms at any time. When we make material changes, we will update the "Effective Date" at the top of this page and, where appropriate, notify you by email or through a prominent notice on the platform. Your continued use of the Service after any such changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service.

16. Miscellaneous

These Terms, together with the Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and OSeminar with respect to the Service and supersede all prior agreements, representations, and understandings. If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect. The failure of OSeminar to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. You may not assign or transfer your rights or obligations under these Terms without our prior written consent.
